What the record shows

Thompson National Properties, LLC (TNP) was founded in February 2008 to provide real-estate investment and asset-management services to high-net-worth domestic, foreign, and institutional investors, and was owned and managed by Anthony W. Thompson, its chairman and chief executive officer. In a September 5, 2012 announcement, TNP said it had sponsored 10 Delaware statutory trust programs for more than 500 DST investors since late 2008, serving both Section 1031 exchange investors and cash investors, and that a TNP-sponsored DST had acquired a 158-unit Class A apartment community in Evansville, Indiana. Top1031 tracks 13 TNP-affiliated Delaware statutory trusts with first filings from 2009 through 2014.

The outcome-disclosure ledger shows 5 exits acknowledged without a figure, 0 figures published, and 1 silent, drawn from 24 citations at proof depth 4.

Firm origins and DST platform

Thompson National Properties, LLC was founded in February 2008 to offer real-estate investment and asset-management services to high-net-worth domestic, foreign, and institutional investors, and was owned and managed by Anthony W. Thompson, its chairman and chief executive officer 1. In an announcement dated September 5, 2012, TNP said it had sponsored 10 Delaware statutory trust programs for more than 500 DST investors since late 2008, serving Section 1031 exchange investors alongside cash investors 2.

Program record

The same September 5, 2012 announcement stated that a TNP-sponsored DST had acquired Thompson/Post Reserve Apartments & Townhomes in Evansville, Indiana, a 158-unit Class A townhome-style apartment community situated on 7.55 acres 2. Top1031 tracks 13 TNP-affiliated Delaware statutory trusts whose first SEC filings run from 2009 through 2014: TNP 6700 Santa Monica Boulevard, DST and Thompson/Morgan Baton Rouge I, DST (2009); TNP Irving Square, DST and TNP 121 S. Martin Luther King Blvd., DST (2010); Thompson/Post Ladera Palms, DST, TNP 1265 NW Waterhouse Ave, DST, TNP 3350 Boyington, DST, Thompson/Post Regal Crossing, DST, and Thompson/Post Canyons At West 45th Ave, DST (2011); TNP 3745 Pentagon Blvd DST and Thompson/Post Reserve Apartments, DST (2012); TNP Spring Gate Plaza, DST (2013); and TNP Northgate Boise, DST (2014) 3. A Top1031 validated outcome record classifies the July 10, 2020 exit of TNP Spring Gate Plaza, DST (CIK 1592764) as distressed 4.

In a decision dated March 30, 2015, a FINRA extended hearing panel found Anthony Warren Thompson, TNP's chief executive and sole managing member, and TNP Securities, LLC, TNP's wholly owned subsidiary, liable for material misrepresentations and omissions in securities sales, expelling TNP Securities and barring Thompson from associating with any FINRA member 5.
