What Top1031 is and is not

Top1031 is an independent data and educational publisher covering 1031 exchanges and Delaware Statutory Trust (DST) offerings. We are not a broker-dealer, investment adviser, tax advisor, or law firm, and nothing on this site is investment, tax, or legal advice. Nothing here is an offer to sell or a solicitation of an offer to buy any security; offers are made only through a sponsor's Private Placement Memorandum. The site is intended for accredited investors evaluating their own circumstances with their own qualified advisors.

Data, grades, and no warranties

• Directory information is derived from public SEC filings and sponsor disclosures. We work to keep it accurate and current, but it is provided "as is," without warranty of completeness, accuracy, or fitness for any purpose. Sponsor-reported performance figures are sponsor-reported and are not verified, computed, or endorsed by us.
• Top1031 Grades are editorial opinions produced by our published methodology from cited public evidence. They are protected expressions of opinion, are not investment recommendations or predictions, and should never be the basis of an investment decision. The methodology, every grade's inputs, and a dispute process are published on the site; sponsors and readers who believe any input is wrong are invited to submit better public evidence, and we will use it.
• Calculators and tools produce general, illustrative estimates from the inputs you supply. Your actual tax outcome depends on your circumstances.

Accounts

Account access is by single-use email link. You agree to provide accurate registration information, including your name, phone number, and accredited-investor attestation, and to keep your email account secure. By creating an account, you consent to Top1031 and an affiliated licensed 1031 specialist contacting you by email or phone about your exchange. Registration does not authorize text messages. You may ask us or the specialist to stop contacting you at any time. Anyone with access to your inbox can access your Top1031 account. We may suspend or close accounts that abuse the service.

Acceptable use

You may link to, quote, and cite this site with attribution. You may not: scrape or bulk-harvest the directory for redistribution or resale; misrepresent Top1031 data or grades as your own or as ours where altered; use the site to harass sponsors or other users; probe, disrupt, or overload the service; or use registration data surfaces for purposes other than your own exchange evaluation. Search-engine and AI-assistant crawling consistent with our robots.txt is welcome.

Intellectual property

The site's editorial content, grade methodology, compilations, and design are owned by Mangold, Inc. or its licensors. Underlying government filing facts are public; our selection, enrichment, and presentation of them are not.

Limitation of liability

To the fullest extent permitted by law: the site is provided without liability for investment outcomes, data errors, or interruptions, and Mangold, Inc.'s total liability for any claim relating to the site will not exceed one hundred dollars (US $100). Some jurisdictions do not allow certain limitations; those limits apply to the maximum extent permitted. Nothing here limits liability that cannot lawfully be limited.

Disputes, governing law

These terms are governed by the laws of the State of Delaware, without regard to conflicts rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. If any provision is unenforceable, the remainder stands.

Changes

We may update these terms; the "Last updated" date changes when we do, and material changes will be flagged at sign-in for account holders. Continued use after changes is acceptance.
