No broker-dealer appears anywhere on the notice, which records 32 investors subscribed and a first sale predating the filing date.

Published Updated

SE NG (GILBERT), DST reports $0 of sales commissions and $0 of finders' fees on the Form D it filed on August 20, 2026, with the primary document marking both lines as estimates. Across the tracked market, the median filing books sales commissions at 6.5% of the maximum offering. The Delaware Statutory Trust (DST) had already taken subscriptions from 32 investors by the filing date, so the zeros are not the placeholder of a raise that has not started.

Medians are taken per Form D filing for likely DST issuers over the trailing twelve months, amendments included, so they describe filings rather than unique Trusts. The minimum sits below that median and is still not the lowest in the tracked set.

The filing's industry line reads Other Real Estate and stops there. No property, tenant, lease or debt appears on the form. The public record nearby is suggestive and unjoined. Syndicated Equities published a page on August 26, 2026 naming the Northrop Grumman SCIF & Lab Facility in Gilbert, Arizona and describing a DST acquisition during 2026. The Phoenix Business Journal reported on August 31, 2026 that SE NG (Gilbert) Transitory LLC, affiliated with the sponsor, acquired Gilbert Spectrum Building 3, and Colliers on September 10, 2026, AZ Big Media on September 18, 2026 and the Gilbert Independent on September 27, 2026 each reported the same sale with Syndicated Equities as buyer. No source states that the facility on the sponsor page and Gilbert Spectrum Building 3 are the same asset; the only link between them is the overlap between the Trust's name and the transitory entity's. A search of publicly indexed SEC, sponsor, national, trade and local commercial real-estate material, run October 5, 2026, located no coverage naming the Trust itself, which does not establish that none exists.

The related persons run in a chain, as the filing states them. SE NG (Gilbert) DT, LLC is Executive Officer and Promoter, clarified as discretionary trustee of the issuer; Syndicated Equities Interests, LLC carries the same two relationships, clarified as manager of that entity; Syndicated Equities Holdings, LLC is clarified as manager of Interests. Matthew McCulloch, Jason Schwartz and Richard Kaplan each appear as Executive Officer, Director and Promoter, clarified as members of Holdings. Schwartz signed, under the title "Mbr of the Mgr of the Mgr of the DT of Issuer." The sponsor's Winter 2026 newsletter, published March 31, 2026, gives Kaplan as CEO and founder, Schwartz as managing partner and COO, and McCulloch as managing partner. Six related persons, three layers of management, and nobody on the form in a selling role. Rule 506(b) bars general solicitation, but it settles nothing about how the 32 purchasers were reached or who they were.

The directory publishes 5 Active Trusts for the sponsor among 227 across the market, Active meaning records that are shown, not delisted, and active, fully subscribed offerings included. A snapshot of the sponsor's page dated August 6, 2026 showed 4 active among 24 programs. Neither count establishes that any particular offering is open: the Johnson Controls Innovation Center Trust was reported closed with no equity available on September 24, 2026.

One public listing already disagrees with itself about this raise. A Baker 1031 offering page, last updated July 14, 2026, labels the offering closed while showing the full offering amount as available equity. The Form D is the later record and the primary one, which is why its figures are used here, and they speak only as of August 20, 2026. What remained available after that, no document in the record says.
