The minimum is $1,000. Across the active Delaware Statutory Trust (DST) offerings Top1031 tracks, the trailing-twelve-month median minimum is $100,000, and this is not the lowest floor in the set. Under Rule 506(c), the exemption claimed here, general solicitation is permitted and every purchaser must be a verified accredited investor, whatever the size of the check. So the Trust holds the exemption built for advertising, and the retrieved record shows no advertising. FNEX Capital, LLC is named as the broker-dealer.

The promoter is Cove Capital Investments, of Torrance, California, which holds 24 of the 230 active Trusts in the directory. Dwight Kay signed the notice as Manager of Signatory Trustee and Manager of Issuer; he and Chay Lapin are named as executive officers. A July 17, 2026 portfolio update reported $1,133,765,047 in sponsored transactions across 137 properties, as reported by the sponsor. The sponsor's other 2026 trusts arrived with dated releases that named the building: a distribution facility for Cove Essential Net Lease Industrial 116 DST on June 1, 2026, a grocery-anchored center for Cove Princeton KY Opportunity 117 DST on June 5, 2026, a multifamily community for Cove San Antonio Multifamily 119 DST on July 24, 2026, a headquarters building for Cove Southfield Corporate 118 DST on August 5, 2026, and a retail asset for Cove Shreveport Opportunity 120 DST on August 18, 2026. The wire was running the whole time.

What this notice withholds is the asset. Its industry entry reads Commercial, its address is the sponsor's own office, and nothing in it places a building anywhere. Industrial and Montgomery come from the Trust's marketing title and from nowhere else in the document. Debt is absent for a different reason: Form D does not ask. The sponsor's 2026 acquisition releases describe its deals as debt-free, the June 1, 2026 purchase among them, which it called a 100% debt-free transaction. The PPM will state whether this Trust carries any.

Neither this Trust nor Houston Small Bay 122 DST, whose Form D was filed July 21, 2026, carries Cove in its name, and the retrieved record contains a dated launch release for neither. There the parallel stops. Houston 122 had recorded no sales as of its filing. This one was already selling. The record does not say why either trust was named or handled differently.
