BREX Net Lease Industrial I DST reached 90% of its ceiling 81 days after its first sale

Measured from the filing record rather than from cleared subscriptions, the pace sits well inside Brookfield's own two-program median and well outside the market's.

Published Updated

The Form D record for BREX Net Lease Industrial I DST ends, as of this writing, on September 17, 2026, with 99.5% of the stated ceiling reported sold. The Delaware Statutory Trust (DST), sponsored by Brookfield, had crossed half that ceiling on day 53.

Raise velocity is a pace metric Top1031 computes from the amendments themselves: the days from the first sale the filing reports, May 4, 2026 in this case, to the amendment that first reports half the ceiling sold, and then to the amendment that first reports 90% of it.

Both framing figures need reading carefully. A sponsor median drawn from 2 programs is a thin base, and it measures that Sponsor's own filing history rather than anything wider. The market median is the same figure at both thresholds, drawn from 4,591 programs.

Equity did not arrive evenly: the amounts between consecutive amendments vary widely. But a Form D amendment is dated when the Sponsor filed it, not when a subscription cleared, so the series shows when the record was updated, and amount sold is as the filing reports it and can lag.

What the pace does not show is most of the file. The Offering is exempt under Rule 506(b). The Form D names no property and classifies the Offering under Other Real Estate, and it sets a $100,000 minimum, so the amendment record speaks to how fast the equity moved and not to the asset behind it. A raise this far along is subscribed. That is a different thing from proven, and the filings carry no performance figures.

No amendment has reduced the $80.06 million ceiling. What the next one adds to the record is not in it yet.
