Brookfield's New Data Center DST Names No Property; Trade Press Placed the Raise in Sunnyvale

It is Brookfield's second Delaware Statutory Trust (DST) of 2026 to carry a net-lease label, and it began selling before the first one's raise had closed.

On August 5, 2026, AltsWire reported that a Brookfield trust, which it rendered as BREX Net Lease Data Center 1 DST with an Arabic numeral, was raising equity for a Sunnyvale, California asset. No other source in the record describes the asset. BREX Net Lease Data Center I DST filed its Form D on August 17, 2026, and the notice names no property, no tenant, no lease term and no debt. That is the form, not an omission by the Sponsor: a Form D is a notice of an exempt offering, not SEC approval and not a review of the offering's merits, and it does not ask what the trust owns.

The Trust claims Rule 506(b), which prohibits general solicitation and advertising, so there is no marketing campaign against which to check the trade item. The public record was assembled by others: the AltsWire piece, a Baker1031 marketplace page dated August 10, 2026, and, on the filing date itself, aggregator items at StreetInsider and edgar.tools drawn from the Form D. The Brookfield Real Estate Income Trust news archive carries nothing on the Trust; its most recent posted item, dated June 15, 2026, concerned that REIT and the appointment of a chief investment officer.

The ceiling sits above the trailing-twelve-month median offering size in Top1031's tracked market, and the minimum matches that market's median exactly. Neither figure distinguishes this filing. The sequence does.

BREX Net Lease Industrial I DST recorded its first sale on May 4, 2026, and its Form D/A of August 7, 2026 reported most of that offering sold and the raise still open. The data center trust's own first sale is dated August 3, 2026. The filing record places BREX Briggs MF DST's equity raise as complete on March 27, 2026 and BREX Parker MF DST as closed in 2025; two BREX trusts are active in Top1031's directory of 230 active offerings. The two net-lease vehicles also share a naming convention the Parker and Briggs trusts did not: a sector, then a Roman numeral.

Distribution costs more here than in the tracked market generally. Sales compensation runs to 7.0% of the maximum offering, against a trailing-twelve-month median of 6.5%. The filing names Jacob Driver and Andy Raney as the persons to be compensated, and no firm beside them. For a raise of this size, that leaves the selling channel unstated on the face of the notice.
