Estimated sales commissions on NexPoint Marina II DST run to 8.7% of the maximum offering amount, against a 6.5% median for Form D filings by likely DST issuers over the trailing twelve months, a cohort counted per filing, amendments included, rather than per unique Trust. On size and on minimum, this offering is the market. On the load, it is not.

The initial Form D named FNEX Capital LLC and Emerson Equity LLC. The amendment put McDermott Investment Services, LLC, 1031 Securities Inc., Quincy Wells Capital, LLC and Metropolitan Capital Investment Banc, Inc. beside them. Investors and amount sold both moved on that same document. A wider shelf, the same estimated pool: the filings record both changes and connect neither to the other.
What the filings do not carry is the real estate. NexPoint's August 27, 2026 release is headed "NexPoint Launches Marina II DST Offering Backed by Two Full-Service Marina Properties" and ran the same day on PR Newswire. The marine trade press followed: Marina World and Marina Dock Age on August 28, then Connect Money on September 3 and Capdex on September 18. Whether debt sits in the structure, and on what terms, is a question for the offering documents. The Trust claims Rule 506(c), which permits general solicitation and requires every purchaser to be verified as accredited. Both filings record the date of first sale as August 31, 2026.
NexPoint announced on July 23, 2026 that the earlier NexPoint Marina DST was fully subscribed. The sequel's launch release came the following month. Top1031 publishes 7 NexPoint Trusts as Active among 227 published Active Trusts, a basis that excludes delisted records and includes fully subscribed offerings, and the Sponsor's open line already runs to Lodging II, Small Bay III and Life Sciences III.
Every related person on both filings carries the same relationship, Executive Officer; the clarifications do the sorting. NexPoint Real Estate Advisors IV, L.P. is clarified as Sponsor of the Issuer. Paul Richards and Matt McGraner are each Authorized Signatory of the Issuer, and Richards signed both documents. OSL Marina II Parent Manager, LLC is Manager and Signatory Trustee of the Issuer, and OSL Marina II Investment Co, LLC is Contributor of the Issuer. That OSL prefix is not the house pattern: the NexPoint Outlook DST amendment of September 23, 2026 carries NexPoint Outlook Parent Manager, LLC and NexPoint Outlook Investment Co, LLC in the equivalent clarifications. The prefix does appear elsewhere in the sponsor's record: the NexPoint Lodging II DST initial Form D of May 26, 2026 lists OSL Lodging II Investment Co, LLC with the relationship Promoter, alongside NexPoint Lodging II Parent Manager, LLC and NexPoint Real Estate Advisors IV, L.P. in that same relationship. No filing explains the difference.
