Passco Jennings Mill DST Reached Full Cycle With a July 13, 2026 Sale of Lullwater at Jennings Mill

The sale closes a hold that Top1031 dates at 4. 7 years from the Trust's first Form D filing to the disposition on record.

Published Updated

The Lullwater at Jennings Mill project page kept by Batson-Cook Development Company (BCDC), the developer, places the property at 225 Jennings Mill Parkway in its Sold category. The page is dated July 13, 2026, and it is the record Top1031 relies on to date the full cycle of Passco Jennings Mill DST, the Delaware Statutory Trust (DST) offering Passco Companies brought to market as a residential program.

What the page does not carry is the outcome. It names no buyer, no price, no investor cash-out and no DST-specific full-cycle return. Top1031 found no Passco announcement of the sale, and the Trust's Form D carries no performance figures. The disposition is dated to the day; the result is undisclosed.

The offering was made under 506(b), and the distribution terms and hold assumptions its private placement memorandum set for investors are not in the public file. What the SEC record shows is the shape of the raise:

Offering amount

How much of that amount was sold is not among the figures Top1031 carries for the filing.

So the full cycle rests on two documents: a Form D that fixed the ceiling and the minimum, and a developer's page that marks the property sold. Neither one speaks to the eventual result for the investors who took beneficial interests in the Trust.
