FSX Industrial 35 Files at $35.74 Million; Its Sponsor's Page Says $38.1 Million, Trade Coverage $74.1 Million

The two larger figures were both public on July 9, 2026; the filing that followed is the only one of the three submitted to the SEC.

Three figures are attached to the same Tifton, Georgia building, and only one of them went to the SEC. FSX Industrial 35 DST reported on July 30, 2026 that it is offering up to $35.74 million. On July 9, 2026, the offerings page of Four Springs (FSX) listed FSX Industrial 35, DST as a $38.1 million industrial offering in Tifton, Georgia. AltsWire, that same day, reported that Four Springs (FSX) had launched the Trust as a $74.1 million Delaware Statutory Trust (DST) offering available to accredited investors and tied to a 798,000-square-foot industrial distribution facility in Tifton.

Nothing in the record reconciles them. A Form D reports the amount of securities offered; it names no property, states no purchase price and reports no mortgage debt, and neither the sponsor's listing nor the July 9 coverage states a loan amount. Top1031 carries the filed amount and reports the other two as published.

What the filing does settle is the cost of selling. The stated sales commissions come to 5.0% of the maximum offering, against a 6.0% median across the Trusts Top1031 tracked over the trailing twelve months. Third Seven Capital LLC is named as broker-dealer. The Trust claims Rule 506(c), which permits general solicitation and requires every purchaser to be verified as accredited.
